Important: MedFile.one is currently in pre-launch phase. These Terms of Service govern your use of our website and waitlist service. The full application will be available at a future date.
1. Acceptance of Terms
By accessing or using the MedFile.one website ("Website") and joining our waitlist, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Website or join our waitlist.
If you are accessing our services on behalf of a healthcare organization or business, you represent that you have the authority to bind that entity to these Terms.
2. Zero-Knowledge Service Description
Truly Local-First Software
MedFile.one is built as strictly local-first software with minimal server dependency:
- All medical data stays on your device - We never receive any medical data
- Only server connection: Serial number verification during installation/reinstallation
- No analytics: We do not collect any usage data or analytics
- No cloud backups: We don't offer any backup services
- No cloud services: We don't offer any cloud data management
- Once installed: Software works completely offline with no server connections
What We Cannot Access (By Design):
- Medical Records: Cannot view any medical files or health information
- User Passwords: Cannot see or recover your password
- Encryption Keys: Do not have and cannot obtain decryption keys
- File Contents: Cannot see inside your PDFs, images, or documents
- Usage Data: Do not collect any analytics or usage information
- Search History: Cannot see what you search for
What We Can Access (Limited):
- Account Information: Name and email for account management
- Payment Status: Whether subscription is active
- Serial Number: For license verification only
- Contact Information: What you provide in support requests
No medical data, no usage data, no analytics.
Service Architecture
MedFile.one operates as:
- Local-First Software: All data processing happens on your device
- Minimal Server Dependency: Only checks serial number at installation
- Completely Offline After Installation: No ongoing server connections
- No Cloud Services: We don't offer any cloud features
- No Data Export Required: You manage all data locally
3. Data Ownership and Control
You retain complete ownership and control over your medical data:
- Your Data, Your Device: Medical records are stored locally on your device
- No Server Copies: We do not have copies of your medical files on our servers
- You Control Encryption: Encryption keys are derived from your password (which we cannot access)
- Legal Protection: We cannot access your data even under legal compulsion - we don't have the keys
- Your Responsibility: You are solely responsible for backing up your medical data
- Account Deletion: You can delete your account and all associated data at any time
Critical User Responsibilities
- Password Management: We cannot recover your password if lost. You must keep it secure.
- Data Backup: You are responsible for maintaining backups of your medical records.
- Device Security: You must secure the devices where your medical data is stored.
- Account Security: Protect your account credentials; we cannot reset your password without you losing access to your encrypted data.
4. Medical Information Disclaimer
MEDICAL DISCLAIMER
MedFile.one is a records management tool and NOT a medical service provider. We do not provide medical advice, diagnosis, or treatment.
Data Access Disclaimer: We cannot see your medical records. Therefore, we cannot verify the accuracy, completeness, or appropriateness of your medical information.
Users are solely responsible for:
- The accuracy and completeness of medical information stored
- Consulting with qualified healthcare professionals for medical decisions
- Ensuring proper backup of their medical records
- Sharing medical information appropriately with healthcare providers
- Complying with all applicable healthcare laws and regulations
- Maintaining the confidentiality of any shared medical information
Emergency Notice: MedFile.one is not designed for emergency medical situations. In case of a medical emergency, call your local emergency number immediately.
5. Security Through Minimal Architecture
MedFile.one reduces risk through extreme minimalism: Fewer moving parts means fewer potential vulnerabilities:
- No PHI Transmission: Medical data never leaves your device
- No Server Storage: We don't store any medical data on our servers
- Minimal Data Collection: We only collect name, email, and serial number
- No Analytics: We don't collect any usage data
- Single Server Function: Only serial number verification
- Technical Impossibility: We physically cannot access your medical data
6. User Responsibilities and Acceptable Use
You agree to:
- Keep your password secure and confidential (we cannot recover it)
- Maintain backups of your medical data
- Use the service only for lawful purposes
- Not attempt to compromise the security of our service
- Not use the service to store non-medical or inappropriate content
- Comply with all applicable laws regarding medical data storage and sharing
- Not reverse engineer or attempt to copy our technology
- Understand that we cannot access your data to provide content-specific support
Prohibited Activities
You may not:
- Use MedFile.one for illegal purposes or to store illegal content
- Attempt to access other users' accounts or data
- Use automated systems to access our service without permission
- Impersonate others or provide false information
- Distribute malware or harmful code through our service
- Violate the intellectual property rights of others
7. Payment and Subscription
7.1 Payment Processing
We use secure third-party payment processors (Stripe, PayPal, etc.). We receive:
- Confirmation of payment success/failure
- Subscription status and renewal dates
- Anonymous transaction IDs
- Last 4 digits of payment methods for your reference
We never receive full credit card numbers, CVV codes, or full bank account information.
7.2 Subscription Terms
- Subscriptions automatically renew unless cancelled
- You can cancel at any time through your account settings
- Refunds are provided according to our refund policy (available separately)
- Price changes are communicated 30 days in advance
- Free trials are available but require payment information
7.3 Consequences of Non-Payment
- License key deactivation prevents new installations
- Software updates are no longer provided
- Your medical data remains accessible on your current device
- We cannot delete your medical data from your device
8. Limitation of Liability
To the maximum extent permitted by law, MedFile.one shall not be liable for:
- Any loss of medical data, records, or health information
- Damages resulting from your failure to maintain backups
- Damages resulting from lost passwords (we cannot recover them)
- Service interruptions or downtime
- Damages resulting from device failure, loss, or theft
- Unauthorized access to your account due to your failure to secure credentials
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, or business opportunities
Our total liability shall not exceed the amount paid by you for the service in the 12 months preceding the claim.
Important: Because we cannot access your medical data, we cannot be responsible for its accuracy, completeness, or appropriateness for medical decision-making. You assume all risk associated with the use of your medical records.
9. Service Availability and Server Dependency
Our servers provide only one function:
- Serial Number Verification: Only during installation or reinstallation
9.1 Server Independence
Once installed, MedFile.one:
- Works completely offline - No internet connection required
- No ongoing server connections - Software operates independently
- Unlimited local use - All features work without servers
- No cloud dependencies - We don't offer any cloud services
9.2 Server Outage Impact
If our servers are unavailable:
- Existing installations continue to work normally
- Only new installations are affected
- No impact on data access or functionality
Architecture Note: We've intentionally designed MedFile.one to have minimal server dependency. The software is built to work independently once installed, with the only server contact being a one-time serial number check.
10. Termination
We may terminate or suspend your account if you:
- Violate these Terms of Service
- Use the service for illegal purposes
- Attempt to compromise our systems
- Fail to pay for services when due
- Share your serial number in violation of license terms
10.1 Upon Account Termination
Due to our minimal architecture:
- Medical data remains on your device: We cannot access or delete it
- Serial number deactivated: Prevents new installations/reinstallations
- Existing installation unaffected: Software continues to work locally
- No data export needed: Your data remains accessible on your device
- No server connection: Already-installed software works offline indefinitely
10.2 What We Cannot Do Upon Termination
Because of our design, we cannot:
- Delete medical data from your device
- Remotely disable already-installed software
- Access any of your medical files
- Prevent you from using existing installations
- Remove software from your device
- Export your data (we never had it to begin with)
10.3 What We Can Do Upon Termination
We can:
- Deactivate your serial number in our database
- Prevent new installations using your serial number
- Block reinstallations requiring serial verification
10.4 Self-Termination
You may terminate at any time by:
- Uninstalling the software from your device
- Manually deleting your medical data files
- Not renewing your subscription (prevents new installations only)
Technical Reality Check
MedFile.one's architecture means:
- We have no control over installed software - It runs independently
- We cannot "turn off" your access - Software works offline
- Termination only affects new installations - Not existing ones
- Data sovereignty remains with you - We never had your data
This is by design - true local control means we can't take away what you already have.
11. Intellectual Property
11.1 Our Intellectual Property
All MedFile.one software, website content, logos, and trademarks are our property or the property of our licensors and are protected by intellectual property laws.
11.2 Your Intellectual Property
You retain all rights to your medical records and data. We claim no ownership over user-uploaded content.
11.3 License Grant
We grant you a limited, non-exclusive, non-transferable license to use our software for personal medical records management, subject to these Terms.
12. Third-Party Services
We use minimal third-party services:
- Payment processors: For subscription payments only
- Email delivery: For account communications
- Web hosting: For our website and serial verification server
Critical Architecture Fact:
- No third-party service ever receives medical data (we don't have it)
- No third-party service receives usage analytics (we don't collect any)
- The only data shared is: name, email, payment status, and serial number
- No medical data is ever transmitted from your device to any service
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
13.2 Dispute Resolution
Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court.
13.3 Class Action Waiver
You waive any right to participate in class actions or class arbitrations.
13.4 Jurisdiction
Any legal proceedings shall be brought in the state or federal courts located in Wilmington, Delaware.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of significant changes by:
- Posting the new Terms on this page
- Sending an email notification (for major changes)
- Updating the "Last Updated" date
Your continued use of the service after changes constitutes acceptance of the new Terms.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and MedFile.one regarding your use of our services.
